Abstract

National development in the economic field which is the root of the solidity of a country is being intensively intensified by the Indonesian government, the economic field is the most important focus of development in Indonesia. To harmonize such conditions, one way that humans do is to cooperate in various fields of life included in the running of the economic sector. One of the business opportunities that use the direct investment system is a company with a franchise system or in Indonesia it is better known as a franchise system. Franchising is organized based on a written agreement between the franchisor and the franchisee, even in a franchise agreement it often does not protect the interests of the franchisee as a result of not having the power of franchise acceptance which is more disadvantaged than the contents of the agreement which is usually standard, even in franchise agreements it often does not protect the interests of the franchisee as a result from not having franchise acceptance power that is more disadvantaged than the contents of the agreement which is usually standard. The research for writing this thesis was used Juridical Empirical (Field Research), by conducting research and collecting data in the field and conducting interviews with the franchisor (recipient of franchise rights) Sogogi shabu & grill Pekanbaru outlets, interviews with the Regional Revenue Agency of Riau Province, this research is descriptive in nature Analysis, namely analyzing and presenting facts systematically so that they can be more easily understood and concluded. Through this research it is hoped that a systematic, factual and accurate description will be obtained regarding certain facts regarding the legal protection of franchisees (franchisors) in cooperation agreements with franchisees (franchisees). The results of research conducted in the field can the authors conclude that in making a cooperation contract between PT Sedap Artha Perkasa and the recipient of the franchise, even though they have complied with Government Regulation Number 42 of 2017, there is still an exoneration clause which certainly does not meet the principle of proportionality required in cooperation, which is is the principle for the creation of justice in the contract.
