Abstract

ABSTRACT Franchising is a right to sell products or services that are bound by a contract or cooperation agreement between the franchise owner and the franchisee, just like an agreement, in a franchise agreement the parties must also fulfill all the elements in the agreement so that the franchise agreement is legally valid, franchise agreement the parties are bound to fulfill each other's achievements in accordance with what has been agreed. The formulation of the problem in the research is the implementation of the trading partner agreement between Sabana Fried Chicken and the Trading Partner, the rights and obligations of the parties as well as efforts to resolve defaults on trading partners who use raw materials outside the agreement. This study uses observational research or survey methods in which data is collected from respondents using data collection tools in the form of interviews and questionnaires, while the nature of the research is analytical descriptive, namely research that provides data as accurately as possible to describe the implementation of the Trading Partner agreement, the rights and obligations of the parties and efforts to resolve defaults on trading partners who use raw materials outside the agreement. Based on the results of the study, it can be seen that the implementation of the trading partner agreement between Sabana Fried Chicken and trading partners in Pekanbaru City is bound in an agreement where the parties agree to comply with the provisions set by Sabana Fried Chicken as the owner of the trademark, every community who is interested in becoming the owner of the trademark. Sabana fried chicken trading partners must apply and sign an agreement on the use of the Sabana Fried Chicken trademark. The rights and obligations of the parties in implementing the trading partner agreement between Sabana Fried Chicken and trading partners are stipulated that the obligations of the first party include providing all the raw materials and equipment needed by the trading partners in carrying out their activities, while the obligations of the trading partners include paying the investment costs of the trading partners, following instructions and training held by Sabana fried chicken as well as carrying out obligations related to the use of raw materials and maintaining the image of Sabana fried chicken, while the rights received by the Sabana fried chicken include the profits obtained in every purchase of equipment and raw materials used by trading partners while the rights What is obtained by the trading partner is the right to use the Sabana Fried Chicken trademark in running their business. Efforts to resolve defaults against commercial partners who use raw materials outside the agreement are commercial partners who commit violations are subject to sanctions from reprimand to legal action if the violations committed damage the image of Sabana Fried Chicken in society.
