Abstract

The birth of the Job Creation Law created a new atmosphere in the business field in the Republic of Indonesia. Ease of carrying out business activities was created to stimulate economic improvement, especially for Micro and Small Enterprises (MSEs). One of the conveniences for MSEs is the establishment of a individual company legal entity. The establishment of an individual company for MSEs is a forum for raising the class of micro and small business actors. If a individual company wants to expand its business access, then the individual company must change its legal entity status to a capital partnership company if there is more than one shareholder and the Individual company no longer meets the MSEs criteria. The change in the status of an Individual company to a capital partnership company is carried out by notarial deed and registered electronically via the Ministry of Law and Human Rights' online AHU. The change in the status of an Individual company to a capital partnership company still creates legal uncertainty. When individual company was changed to individual company capital there was no system that accommodated it perfectly. In practice, to change a individual company to a partnership company, the company is dissolved first and then a individual company is created with the same name. The legal consequences of dissolving a legal entity are certainly different from the legal consequences of changing the status of a legal entity from an individual company to a capital partnership company. Improvements to the General Legal Administration service system must be perfected so that the change from an Individual company to a capital partnership company can be carried out without dissolving the old legal entity.
