Abstract

In general, the principle of good faith has become an important foundation in the making and implementation of agreements, because without the good faith of the parties involved in the agreement, it is impossible for the agreement to run well as mutually agreed. The problem in this study is that the implementation of cooperation agreements for freight forwarding businesses does not fulfill the principle of good faith. from one of the parties in making payments to return the business capital used. Reasons for fulfilling or not fulfilling the principle of good faith in the implementation of cooperation agreements for freight forwarding businesses. Efforts by the owners of capital in the case of entrepreneurs who do not have good intentions. This is of course contained in article 1338 (3) of the Civil Code which states that "Consent must be carried out in good faith". The main problem in this research is how to implement the cooperation agreement for capital participation for the freight forwarding business and what are the inhibiting factors in implementing the cooperation agreement for the freight forwarding business. The research method used is observational research by means of surveys, namely field research using data collection tools in the form of interviews. While the nature of this research is descriptive, namely research that aims to be able to provide a more precise and detailed description of the reality of the implementation of cooperation agreements regarding the implementation of capital participation for the freight forwarding business. The results of the study show that the implementation of the cooperation agreement for capital participation for the expedition of goods has not been carried out properly where the agreement is in default by one of the parties, in which the default is made, namely the entrepreneur does not pay on time which should be paid on the 28th of each month and pays but only part of it there is no good faith from the entrepreneur in making payments and the inhibiting factor in the implementation of the cooperation agreement for equity participation is the difficulty of the entrepreneur's economic factors which result in the implementation of the return on business capital not going well and there is no good will from the entrepreneur to complete the payment. In addition, the factors that cause the business to not work are due to the lack of knowledge of business managers to manage their business finances. The failure of a business makes the income generated also decreases. Because of this, investors should be more careful before investing to see the entrepreneur's track record so that they can run the business properly so that the rights and obligations of the parties are fulfilled so that they can be mutually beneficial.
